1. The limited liability company "Ruptly," operating in accordance with the legislation of the Russian Federation (hereinafter referred to as "Ruptly," "We," or "Us"). "Ruptly" is an international news agency that provides visual news content for all media, from traditional broadcasting companies to online content providers, including digital and mobile multimedia platforms.

2. On the website https://russiaafrica.ruptly.video (hereinafter referred to as the "Website"), Ruptly offers, under the terms set forth below, themed materials for African Media Awards in the form of video-on-demand or live streaming (hereinafter referred to as the "Content," "Materials"). For the avoidance of doubt, within the context of these Terms, Content and Materials refer to text, graphic images, audio, video (including photographic images), and/or audiovisual materials, or other multimedia content, information, and materials posted on the Website.

3. These Terms of Use (hereinafter referred to as the "Terms") constitute a legally binding agreement entered into between You or the customer/person you represent (hereinafter referred to as "You," the "Customer") and Ruptly, and establish the rights and obligations regarding any content posted on the Website, as well as define the rules for your use of the Website.

4. By checking the box "I agree to the Terms of Use," You agree to the Terms outlined below, as well as to any amendments or supplements to these current Terms published by Ruptly. If You do not agree to all the provisions of the Terms, do not access or use the Website.

5. The Content presented on the Website is provided for use "as is" and may contain symbols and logos of third parties and external organizations, as well as usage restrictions, that You are obligated to comply with.

6. Ruptly provides no assurance or guarantee of any kind regarding the Content other than those explicitly stated in these Terms. Implicit guarantees are excluded to the fullest extent permitted by law.

7. Ruptly may provide materials classified as Pool on the Website – news video content obtained from third parties, for whose use it disclaims all guarantees and liability. Pool materials may contain restrictions and/or third-party symbols (logos). You agree to use Pool materials in accordance with the specified restrictions and to retain third-party symbols (logos) unchanged.

8. To use the Materials, You must register on the Website. During registration, You may be required to create a password. You are fully responsible for maintaining the confidentiality of your account and password. If You fail to maintain the confidentiality of your password and/or account, or provide third parties with access to your password and/or account, You are responsible for all actions taken under your account. If you suspect your password is no longer secure, You must immediately notify Us at: service@ruptly.video with the subject line: “Compromised Account.” Upon receiving information about a compromised account, immediately change your password.

9. Unless otherwise agreed to by the parties, Ruptly grants You a non-exclusive, non-sublicensable, non-transferable, and non-assignable right to use the Content free of charge, in any manner known as of the date of the materials' download, worldwide, for the duration of the exclusive rights.

10. The Content may be used by You solely for news (non-commercial) broadcasting purposes. The use of the provided Content for marketing, advertising, or other similar purposes is not permitted.

11. You are prohibited from making alterations to the Content that distort its meaning, or from using the Content for illegal purposes, including using it in pornographic, defamatory, or misleading context, or in a form that could be considered libelous, obscene, or unlawful.

12. You agree to fully indemnify, hold harmless, and release Ruptly from any losses, costs, and expenses incurred by Ruptly or awarded by a court of competent jurisdiction against Ruptly directly as a result of or in connection with your violation of clause 11 of these Terms.

13. By using this Website, You consent to the use of the personal data You provide. The collection, storage, recording, and other processing of clients' personal data is carried out by Ruptly solely for the purpose of providing services to clients.
